SPOT REFER-A-FRIEND PROGRAM TERMS AND CONDITIONS

1. Eligibility

To participate in Spot Pet Insurance Services, LLC (“Spot”) Refer-A-Friend Promotion (“Promotion”), you (“you” or “Referrer”) must be a legal US resident, eighteen (18) years of age or older at the time of entry. You are not eligible to participate in the Promotion if you or your Friend (as defined below) reside in the following states: LA, MA, MI, MS, MT, NM, RI, SD, and WA or void any other place where restricted by law. The Friend must complete an application and must use the Spot’s electronic reward link (which will be unique to you) (“Reward Link”) for you to be eligible for the promotion and to receive an Amazon gift card (“Gift Card”). The Friend must complete an application within the Promotion Term (defined below). Gift Cards are eligible for applications completed by Friends up until the last day of the Promotion Term. No exceptions to these rules will be allowed. The employees and contractors of Spot, and its sponsors and advertising agencies, and members of the immediate family of any such persons are not eligible to participate and/or win. The term “immediate family” includes spouses, domestic partners, siblings, parents, children, grandparents, grandchildren, or other family extension, and any other persons residing at the same household, whether or not related. Lastly, only new applicants will be accepted. If a person has previously received a quote from Spot, is an active customer, or a former customer of Spot, then the resulting application is ineligible for the Promotion. Determination of Promotion eligibility and qualifying referrals, as well as any exceptions, are at the sole discretion of Spot.

2. Agreement to Official Rules

By participating in the Refer-a-Friend Promotion, you fully and unconditionally agree to and accept these Promotion Terms and Conditions, and the decisions by Spot, which are final and binding in all matters related to the Promotion. Whether a Referrer receives a Gift Card is contingent upon fulfilling all requirements set forth herein. A Friend is a bona fide, non-incentivized, currently alive, individual.  Subject to State-by-State limitations, as set forth in Section 4, a Gift Card may be issued for each new Friend who completes a Spot pet insurance application, no matter how many pet insurance applications the same referred person completes (i.e., if a referred person has two (2) or more pets, only (1) one Gift Card will be issued). The Friend you refer must complete a Spot pet insurance application for their pet, for any Spot pet insurance plan. The application is considered complete after all required application information is received and the information contained in the quote is accurate, verifiable and meets the eligibility criteria. No purchase by the Friend is necessary. The Friend you refer must use the Reward Link at the time the application is made to you to be eligible for the Gift Card. The Promotion is available until June 30, 2024 (“Promotion Term”). Friends must complete an application for a Spot policy within the Promotion Term to be eligible. Applications completed after the end of the Promotion Term will be ineligible for a Gift Card. All eligibility requirements must be met and no exceptions to these rules will be allowed. You may not, under any circumstances, discuss policy terms, rates, plan terms or any other aspect of the pet insurance plans that Spot provides with the Friend(s), including in any messaging. You may be disqualified from the Promotion for: (a) any use of the Promotion as either a commercial account(s); (b) by discussing the terms of any insurance plan offered through Spot; or (c) by any attempt to avoid the lifetime amount. 3. How to Enter

Use the Reward Link sent to you by email: (a) either because you have requested to receive marketing and other communications from Spot; and/or (b) are a current policy holder of Spot; or (c) request a Reward Link by sending a request to Spot at https//spotpetins.com/refer-a-friend or (d) visit spotpetins.com/check-out-spot; or (e) complete the purchase of a policy. Send the Reward Link with the Spot messaging via a text, email, or social media to any of your friend(s) you are referring (“Friend”).

4. Reward

Gift Cards will be issued for each Friend that completes an application, up to the following Promotion Amounts:

A reward will be sent to you in the form of an Amazon.com Gift Card Code emailed to the email address indicated in the “your email address” associated with your Reward Link. The reward will be sent to you within thirty-two (32) days of verification of the referral. The ability to redeem the gift card and the link to claim your gift card will expire after one hundred and eighty (180) days from a completed application. Spot is not responsible for loss or deletion of the Reward Link, or any incomplete or inaccurate application completed by a Friend. Spot reserves the right to verify and adjust the number and value of Gift Cards at any time prior to or following posting and redemption. The Gift Card is not transferable or redeemable for cash. 5. Risk of Loss

The risk of loss and title for Reward Link passes to the Member upon our electronic transmission of the Reward Link to the you or the designated recipient, or our delivery to the internet carrier, whichever is applicable. Spot is not responsible if any Gift Card reward is lost, stolen, or destroyed or your Gift Card balance or any Gift Card is used without your permission.

6. Limitations of Liability

SPOT, AND EACH OF ITS RESPECTIVE AFFILIATES, SUBSIDIARIES, PARENT CORPORATIONS, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES AND AGENTS, ARE NOT RESPONSIBLE FOR ANY INCORRECT OR INACCURATE ENTRY INFORMATION, THEFT, TAMPERING, DESTRUCTION, OR UNAUTHORIZED ACCESS TO, OR ALTERATION OF ENTRIES; PRINTING OR OTHER ERRORS; AND ANY ENTRIES OR MAIL WHICH ARE LATE, LOST, DELAYED, INCOMPLETE, MISDIRECTED, STOLEN, MUTILATED, ILLEGIBLE, POSTAGE DUE OR ANY COMBINATION OF THE ABOVE. SPOT RESERVES THE RIGHT TO MODIFY, CHANGE AMOUNT OF GIFT CARDS ELIGIBLE UNDER THE PROMOTION, SUSPEND OR TERMINATE THE PROMOTION AT ANY TIME. IN THE EVENT THE PROMOTION IS TERMINATED EARLY, REFERRAL REWARDS WILL STILL BE GRANTED THROUGH THE DATE OF PROMOTION TERMINATION. SPOT’S UNDERWRITER SHALL HAVE NO LIABILITY TO YOU FOR ANYTHING UNDER THIS PROMOTION. YOU UNDERSTAND AND AGREE THAT THE SPOT, ITS UNDERWRITER, AND THEIR RESPECTIVE PARENT COMPANIES, AFFILIATES AND SUBSIDIARIES, TOGETHER WITH THEIR RESPECTIVE EMPLOYEES, DIRECTORS, OFFICERS, LICENSEES, LICENSORS, SHAREHOLDERS, ATTORNEYS AND AGENTS INCLUDING, WITHOUT LIMITATION, THEIR RESPECTIVE ADVERTISING AND PROMOTION ENTITIES AND ANY PERSON OR ENTITY ASSOCIATED WITH THE PRODUCTION, FULFILLMENT, OPERATION, OR ADMINISTRATION OF THE PROMOTION (COLLECTIVELY, THE “RELEASED PARTIES”) TO THE FULLEST EXTENT PERMITTED BY LAW, SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF THE COMPANY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES). TO THE FULLEST EXTENT POSSIBLE BY LAW, THE RELEASED PARTIES’ MAXIMUM LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE PROMOTION, REGARDLESS OF THE CAUSE OF ACTION (WHETHER IN CONTRACT, TORT, BREACH OF WARRANTY, OR OTHERWISE), WILL NOT EXCEED $500.

7. Release of Liability

BY PARTICIPATING, PARTICIPANTS AND ENTRANTS AGREE TO RELEASE, DISCHARGE, INDEMNIFY AND HOLD HARMLESS RELEASED PARTIES FROM AND AGAINST ANY CLAIMS MADE BY THE PARTICIPANTS, ENTRANTS OR ANY OTHER THIRD PARTIES RELATED IN ANY WAY TO THE OPERATION OF THIS PROMOTION, AS WELL AS ANY OTHER CLAIMS, DAMAGES OR LIABILITY DUE TO ANY INJURIES, DAMAGES OR LOSSES (WHETHER ALLEGED, THREATENED, OR ACTUAL) TO ANY PERSON (INCLUDING DEATH) OR PROPERTY OF ANY KIND RESULTING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM ACCEPTANCE, POSSESSION, MISUSE OR USE OF ANY PRIZE OR PARTICIPATION IN ANY PROMOTION-RELATED ACTIVITY OR PARTICIPATION IN THIS PROMOTION.

8. Disclaimer of Warranties

THE PROMOTION IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPOT EXPRESSLY DISCLAIMS ALL WARRANTIES, CONDITIONS AND TERMS OF ANY KIND, WHETHER EXPRESS OR IMPLIED BY STATUTE, COMMON LAW OR CUSTOM, INCLUDING, BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE RELEASED PARTIES MAKE AND GIVE NO WARRANTY THAT (i) THE PROMOTION WILL MEET YOUR REQUIREMENTS, (ii) THAT THE PROMOTION WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR (iii) THAT THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE PROMOTION WILL MEET YOUR EXPECTATIONS.  ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE PROMOTION IS ACCESSED AT YOUR OWN DISCRETION AND RISK.

11. Taxes

Nothing in these Terms and Conditions implies any employment or joint venture relationship between you and Spot. All taxes applicable to any Gift Cards provided by Spot under these Terms and Conditions will be your responsibility and Spot shall not withhold or pay any amounts for federal, state, or municipal income tax, social security, unemployment or worker’s compensation.

12. Arbitration; Governing Law; Commencement of Actions

To the extent permitted by the applicable law, these Terms and Conditions and all claims arising from or related to your participation in the Promotion will be governed by and construed in accordance with the laws of the State of Florida, except Florida's conflict of law rules. Any dispute you have with Spot should be submitted to Spot’s counsel within thirty days of the event giving rise to the dispute. Spot’s counsel can be contacted via postal mail at Spot Pet Insurance Services, LLC., Attn: General Counsel, 990 Biscayne Blvd, Miami, FL 33142. Please allow thirty (30) days for Spot to address your complaint prior to filing arbitration as set forth below. These Terms shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods, which is expressly excluded from applying.

Except for disputes relating to the infringement of your or our intellectual property (such as trademarks, trade dress, copyright and patents) or where Spot is seeking a preliminary injunction (“Excluded Disputes”), and to the extent permitted by the applicable law, you agree that all disputes between you and Spot (whether or not such dispute involves a third-party) with regard to these Terms and Conditions or your participation in the Promotion, will be resolved by binding, individual arbitration and you hereby expressly waive trial by jury. As an alternative, you may bring your claim in your local “small claims” court, if permitted by that small claims court’s rules. Neither you nor Spot will participate in a class action or class-wide arbitration for any claims covered by these Terms and Conditions. This dispute resolution provision will be governed by the Federal Arbitration Act and, where consistent, Florida law.

Any such arbitration shall be administered by the JAMS Mediation, Arbitration and ADR Services (“JAMS”) in accordance with its then governing rules and procedures applicable to consumer arbitrations, including the JAMS Streamlined/Comprehensive Arbitration Rules and Procedures and the JAMS Consumer Arbitration Minimum Standards (the “JAMS Rules”). Contact information for JAMS, as well as copies of the JAMS Rules and applicable forms, are available at https://www.jamsadr.com. You and Spot agree that, under JAMS Rule 6(e), any arbitration between us shall be consolidated with any other arbitration(s) submitted to JAMS if and only if the arbitrations involve: (a) the same legal causes of action; (b) common issues of fact and law; and (c) the same counsel. However, class arbitrations are not permitted. Payment of the fees will be determined by the JAMS Rules and fee schedule in place at the time.

Judgment on the award rendered by the arbitrators may be entered in any court having competent jurisdiction.
